1. TERMS AND DEFINITIONS
This clause defines the interpretation of the following terms and definitions used in this Privacy Policy.
“Website” means a web page located at the following link: https://mai-academy-comfyui.com/ and managed by the Website Administration, including a set of textual and visual materials posted on the web page. The “Website” term covers links to other open web resources with published Course content.
“Course” means text, audio, video and audiovisual content, practical tasks, etc., their combination or individual elements, united by a common subject and structured by the Website Administration in order to provide Educational Services.
“User” means any individual who has access to the Website and uses the Website via the Internet.
“Personal data” means any information that can be directly or indirectly related to a specific individual (personal data subject).
“Personal data processing” means any action (operation) or set of actions (operations) performed using automation tools or without using such tools involving personal data, including collection, recording, systematisation, accumulation, storage, clarification (updating, changing), extraction, use, transfer (distribution, provision, access), blocking, deletion, destruction of personal data.

“Telegram-chat of the Contractor” means a chat in the Telegram system, which allows the exchange of text, graphic, audio and audiovisual messages, as well as files of other formats, within the framework of the Services provided by the Contractor.
Terms and definitions unspecified in this section shall be interpreted as defined by the current legislation of Ukraine, otherwise, in the absence of such definition, they shall be interpreted in their ordinary sense.
GENERAL PROVISIONS
The use of the Website by the User means the User's automatic and full consent to the Privacy Policy and the terms of processing of the User's personal data set forth therein.
If the User does not agree with the terms of the Privacy Policy, he/she is obliged to stop using the Website and leave it immediately.
This Privacy Policy applies to the Website or any other website, systems and/or software on which the Course materials are published and which are controlled by the Website Administration.
The Website Administration does not control and is not responsible for third-party websites to which the User can follow the links available on the Website.
The Website Administration does not verify the accuracy of personal data provided by the User.
The Website Administration acts as the controller of personal data of the authorised Users of the Course. The controller of personal data is a person who determines why (for what purpose) and how to collect personal data.
AGE RESTRICTIONS
By placing an order for the provision of the Services on the Website, the User confirms that he/she has reached the appropriate age, which allows him/her to enter into the relevant agreements independently.
By registering/authorising on the Website, the User confirms that he/she has reached the appropriate age to give his/her consent to the processing of personal data.
In case the User has any doubts as to whether he/she can independently consent to the processing of personal data, he/she should contact the authorised body for personal data protection.
The Website Administration may request the User to provide additional documents or undergo additional procedures to ensure that he or she has the right to give consent to the processing of personal data. If the Website Administration has reasonable doubts about the User's age, it may also contact his/her parents or guardians to obtain consent or approval for the Processing of the User's personal data if he/she has not reached the appropriate age. 4. SUBJECT MATTER OF THE PRIVACY POLICY
This Privacy Policy sets out the obligations of the Website Administration to not disclose and ensure the protection of the confidentiality of personal data that the User must provide to the Website Administration upon request when placing an order for the provision of Services on the Website.
The personal data permitted for processing under this Privacy Policy is provided by the User by filling out certain forms on the Website or in an arbitrary format and may include the following information:

User's contact phone number;
User's e-mail address (e-mail);
account IDs for Telegram and other social media accounts;

In addition to the data provided for in clause 4.2. of this Privacy Policy, the Website Administration reserves the right to automatically collect the following data when the User browses the Website or its individual pages:
IP addresses of the User's electronic computing device (computer, phone, tablet, etc.);

information about the User's browser, including the name, version of the browser, etc.;

addresses of the Website pages viewed by the User;

Disabling the function of collecting Cookies by the User may result in the inability to access parts of the Website.
The Website collects confidential data provided for in clauses 4.2. - 4.3. of this Privacy Policy, including in order to identify and resolve technical problems of the Website, to control the load on the Website and to conduct statistical calculations of the effectiveness of the Course advertising campaigns.
Any other personal or sensitive information not specified above is subject to secure storage and non-disclosure, except as provided for in clauses 7.2 - 7.4 of this Privacy Policy.
5. PURPOSES OF USER'S PERSONAL DATA COLLECTION
The Website Administration may use the User's personal data for:
identification of the User registered on the Website to join the public offer agreement remotely;
providing the User with access to the personalised resources of the Website or other website, systems and/or software (software) on which the Course materials are posted;
establishing feedback with the User, including sending notifications, requests regarding the use of the Website or other website, systems and/or software on which the Course materials are posted, providing services, processing requests and applications from the User;
determining the location of the User to ensure security, prevent fraud;
confirmation of the accuracy and completeness of the Personal Data provided by the User;
notifying the Website User of the status of the order for the provision of the Services;
providing the User with effective customer and technical support in case of problems related to the use of the Website or other website, systems and/or software on which the Course materials are posted;
providing the User with updates, special offers, pricing information, news and other information on behalf of the Website Administration with his/her consent;
carrying out advertising activities upon the User's consent;
providing the User with access to the websites of the Course partners in order to receive products, updates and services;
The User's personal data may be used for other purposes within the scope of the Course and not provided for in the Privacy Policy.
6. DATA STORAGE
The Website Administration shall store the User's Personal Data only as long as it is needed by the User or the Website Administration for the purposes specified in this Privacy Policy. The latter also applies to any other third party performing certain actions on behalf of the Website Administration. If the Website Administration does not need certain data about the User and does not need to store them in accordance with the requirements of the law, it will delete them or store them in such a way that makes it impossible to identify the User.
7. METHODS, PROCEDURE AND TERMS OF PROCESSING PERSONAL DATA
The processing of the User's personal data is carried out without any time limit, in any legal way, including in personal data information systems, using automation tools or without using such tools.
By visiting the Website, the User automatically agrees that the Website Administration has the right to transfer personal data to third parties solely for the purpose of fulfilling the User's order placed on the Website.
The User agrees that the Website Administration is entitled to transfer personal data to third parties, in particular, courier services, postal services, telecommunication operators and others, solely for the purpose of fulfilling the User's order placed on the Website, including payment for the use of the Course products.

8. OBLIGATIONS OF THE WEBSITE ADMINISTRATION TO PROTECT PERSONAL DATA
The Website Administration undertakes and guarantees the following:
use any information received solely for the purposes specified in clause 5 of this Privacy Policy;
ensure the privacy and safety of the User's Personal Information;
not to disclose without the prior written consent of the User, as well as not to sell, exchange, publish or disclose in any other possible way the transferred personal data of the User, except for clauses 7.2. - 7.4. of this Privacy Policy;
take precautions to protect the confidentiality of the User's personal data in accordance with the procedure usually used to protect this kind of information in the existing business turnover;
take actions to suspend the use of personal data relating to the relevant User, including preventing their deletion, from the moment of application or request of the User, or his legal representative, or an authorised body for the protection of the rights of personal data subjects for the period of verification, in case of detection of inaccurate personal data or illegal actions.
9. RESPONSIBILITY OF THE PARTIES
In case of failure to fulfil the obligations set forth in this Privacy Policy, the Website Administration shall be liable for losses incurred by the User in connection with the misuse of personal data in accordance with applicable law, except as provided for in clauses 7.2. - 7.4. and clause 9.2. of this Privacy Policy.
In case of loss or disclosure of the User's Personal Information, the Website Administration shall not be liable if this information:
has become or was public at the time of the loss or disclosure;
was received from a third party before it was received by the Website Administration;
was disclosed with the consent of the User.
The Website Administration in all respects not provided for in clause 9.2. of this Privacy Policy shall be liable in accordance with applicable legislation.
10. DISPUTE RESOLUTION PROCEDURE
All disagreements and disputes related to legal relations covered by this Privacy Policy shall be resolved by the parties through negotiations.
If the Parties fail to reach a mutual agreement as a result of the negotiations provided for in clause 10.1 of this Privacy Policy, as well as if one of the Parties evades negotiations, the dispute shall be referred to the court in accordance with the procedure established by the legislation of Ukraine.
FINAL PROVISIONS
The Website Administration has the right to make changes to this Privacy Policy without the consent and notification of the User.
The new Privacy Policy comes into force from the moment it is posted on the Website, unless otherwise provided by the new version of the Privacy Policy.

IP addresses of the User's electronic computing device (computer, phone, tablet, etc.);
information about Cookies stored in the User's browser;
information about electronic computing devices (computers, phones, tablets, etc.) of the User;
information about the User's browser, including the name, version of the browser, etc.;
time of access to the Website;
addresses of the Website pages viewed by the User;
addresses of previous pages from which the Website was accessed.
Disabling the function of collecting Cookies by the User may result in the inability to access parts of the Website.

5. PURPOSES OF USER'S PERSONAL DATA COLLECTION

The User's personal data may be used for other purposes within the scope of the Course and not provided for in the Privacy Policy.
6. DATA STORAGE
The Website Administration shall store the User's Personal Data only as long as it is needed by the User or the Website Administration for the purposes specified in this Privacy Policy. The latter also applies to any other third party performing certain actions on behalf of the Website Administration. If the Website Administration does not need certain data about the User and does not need to store them in accordance with the requirements of the law, it will delete them or store them in such a way that makes it impossible to identify the User.
7. METHODS, PROCEDURE AND TERMS OF PROCESSING PERSONAL DATA
The processing of the User's personal data is carried out without any time limit, in any legal way, including in personal data information systems, using automation tools or without using such tools.
By visiting the Website, the User automatically agrees that the Website Administration has the right to transfer personal data to third parties solely for the purpose of fulfilling the User's order placed on the Website.

8. OBLIGATIONS OF THE WEBSITE ADMINISTRATION TO PROTECT PERSONAL DATA
The Website Administration undertakes and guarantees the following:
use any information received solely for the purposes specified in clause 5 of this Privacy Policy;
ensure the privacy and safety of the User's Personal Information;
not to disclose without the prior written consent of the User, as well as not to sell, exchange, publish or disclose in any other possible way the transferred personal data of the User, except for clauses 7.2. - 7.4. of this Privacy Policy;
take precautions to protect the confidentiality of the User's personal data in accordance with the procedure usually used to protect this kind of information in the existing business turnover;
take actions to suspend the use of personal data relating to the relevant User, including preventing their deletion, from the moment of application or request of the User, or his legal representative, or an authorised body for the protection of the rights of personal data subjects for the period of verification, in case of detection of inaccurate personal data or illegal actions.
9. RESPONSIBILITY OF THE PARTIES
In case of failure to fulfil the obligations set forth in this Privacy Policy, the Website Administration shall be liable for losses incurred by the User in connection with the misuse of personal data in accordance with applicable law, except as provided for in clauses 7.2. - 7.4. and clause 9.2. of this Privacy Policy.
In case of loss or disclosure of the User's Personal Information, the Website Administration shall not be liable if this information:
has become or was public at the time of the loss or disclosure;
was received from a third party before it was received by the Website Administration;
was disclosed with the consent of the User.
The Website Administration in all respects not provided for in clause 9.2. of this Privacy Policy shall be liable in accordance with applicable legislation.
10. DISPUTE RESOLUTION PROCEDURE
All disagreements and disputes related to legal relations covered by this Privacy Policy shall be resolved by the parties through negotiations.
If the Parties fail to reach a mutual agreement as a result of the negotiations provided for in clause 10.1 of this Privacy Policy, as well as if one of the Parties evades negotiations, the dispute shall be referred to the court in accordance with the procedure established by the legislation of Ukraine.

Public Offer Agreement
The provision of Services under this Public Offer Agreement (hereinafter referred to as the "Agreement", "Offer") published on the Website is carried out by the individual entrepreneur Mostovenko Nataliia Oleksiivna (state registration record in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organisations No. 2009570010001012986 dated March 23, 2023), which is registered and operates in accordance with the requirements of the legislation of Ukraine (hereinafter referred to as the "Contractor").
This Offer is an official open offer of the Contractor to enter into an Agreement for the provision of Educational Services by accepting this Offer.
1. TERMS AND DEFINITIONS
This clause defines the interpretation of the following terms and definitions used in this Agreement.
“Website” means a web page located at the following link: https://mai-academy-comfyui.com/ and managed by the Contractor, including a set of textual and visual materials posted on the web page. The “Website” term covers links to other open web resources with published Course content.
“Course” means text, audio, video and audiovisual content, practical tasks, etc., their combination or individual elements, united by a common subject and structured by the Contractor in order to provide Educational Services.
“Agreement”, “Offer” means a document published on the Website on the Internet that regulates the relationship between Users, Customers, and the Contractor in the process of providing Educational Services.
“Contractor” means an authorised person who exercises control over this Website and offers the provision of Educational Services to an unlimited number of persons (Users).
“User” means any individual who has access to the Website and uses the Website via the Internet.
“Customer” means the User who has accepted this Offer and is the recipient (consumer) of the Educational Services under this Agreement.
“Educational Services”, “Services” mean the provision to the Customers of access to the set of Courses (including online lectures, video recordings of lectures, audio recordings, textual support of courses) developed by the Contractor.
“Financial Agent” means a company that provides an online payment service that can be integrated into the functionality of the Website for payment by the Customer for the Services.
“Discord” means an instant messaging system that allows you to exchange text, image, audio, and audiovisual messages, as well as files of other formats, developed by Discord Inc.
“Discord chat of the Contractor” means a chat in the Discord system, which allows the exchange of text, graphic, audio, and audiovisual messages, as well as files of other formats, within the framework of the Services provided by the Contractor.
“Telegram” is an instant messaging system that allows the exchange of text, graphic, audio and audiovisual messages, as well as files of other formats, and is developed by Telegram FZ-LLC.
“Telegram-chat of the Contractor” means a chat in the Telegram system, which allows the exchange of text, graphic, audio and audiovisual messages, as well as files of other formats, within the framework of the Services provided by the Contractor.
Terms and definitions unspecified in this section shall be interpreted as defined by the current legislation of Ukraine, otherwise, in the absence of such definition, they shall be interpreted in their ordinary sense.
CONDITIONS OF ACCEPTANCE OF THE OFFER
The Agreement is a public agreement in accordance with Articles 633, 641 of the Civil Code of Ukraine.
The person (User) who has accepted the Offer assumes all the rights and obligations of the Customer in accordance with Article 638 of the Civil Code of Ukraine. The acceptance of this Offer is the Customer's full or partial payment for the Contractor's Services in accordance with the terms of the Agreement.
Acceptance of the Offer means that the Customer is fully acquainted with the terms of the Agreement and the terms of the payment system - Financial Agent, the specifics of the operation of the Website and/or other websites, systems and/or software within which the training materials are posted, and also recognises the unconditional suitability of the Website for performing actions and achieving the goals that are the subject of this Agreement. Acceptance of the Offer is equivalent, in accordance with Part 2 of Article 642 of the Civil Code of Ukraine, to the conclusion by the parties of a bilateral written agreement on the terms and conditions set out in the Offer.
SUBJECT MATTER OF THE OFFER
In accordance with the terms of the Offer, the Contractor undertakes to provide the Customer with Educational Services in an online format (remotely) for a fee paid by the Customer in favour of the Contractor.
The educational services provided by the Contractor may include text, audio, video and audiovisual materials, practical exercises, chat support and other components of the Course.
At its sole discretion, the Contractor determines and posts on the Website various variations of the range of Educational Services, which may differ in scope, content, timing and cost. Actual and available for ordering Courses, their variations, formats, cost are posted on the Website.
The Services may be provided in a private section of the Website or another website by providing access to the systems and/or software containing the materials, in particular, via the Telegram chat and Discord chat of the Contractor.
TERM AND PROCEDURE OF SERVICE PROVISION
The Contractor shall provide the Services under the Agreement remotely via the Internet, using the Website or other website, systems and/or software, by providing access to the private section of the Website or other private website to the Course materials, based on the specifics and features of the Course selected and paid for by the Customer.
The term and details of the provision of the Services under the Agreement shall also be determined by the specifics and features of the Course selected and paid for by the Customer. Such information may be posted by the Contractor on the Website or provided to the Customer using the latter's contact details.
The Services shall be deemed to be rendered by the Contractor from the moment of granting access to the relevant Course, provided that the Customer makes full or partial payment for the Services in accordance with Section 6 of the Offer.
The schedule of lessons and/or stages provided by the Course is set by the Contractor at its sole discretion.
Acceptance of this Offer by the Customer in the manner prescribed by clause 2.2 of the Offer is equivalent to the signing by the Customer of the Acceptance Certificate of the Services provided, which is a confirmation of the full and proper provision of the Services by the Contractor.
RIGHTS AND OBLIGATIONS OF THE PARTIES
The Contractor undertakes to:
provide the Customer with the Services paid for by the latter, in accordance with the terms of the Agreement and the selected Course;
provide the Customer with personal access to the Course materials, as well as other related and necessary information in a closed section of the website or other website, systems and/or software where the materials are located. Access to the Course materials shall be provided by the Contractor after payment for the Services in accordance with the procedure specified in Section 6 of the Offer;
provide online (remotely) Educational services provided by the Course selected and paid for by the Customer;
provide feedback to the Customer, if such provisions are provided for by the Course selected and paid by the Customer;
keep confidential any personal and/or confidential information received from the Customer during the provision of the Services under the Agreement, in accordance with the Privacy and Personal Data Protection Policy posted on the Website;
comply with the requirements of the current legislation of Ukraine, including those related to the processing, transfer and protection of personal data of Users and Customers;
The Contractor is entitled to:
unilaterally change the content of the closed section of the Website or other website, systems and/or software containing the materials, the form of feedback, without changing the established frequency of their conduct and the scope of the Services, as well as change and supplement the content of the Course for the Customer;
in the course of providing the Services to the Customer, to give specialised recommendations on the performance of tasks provided for by the Course, the programme, as well as on additional actions that increase efficiency and are achieved through the implementation of the results of the Course;
unilaterally amend and supplement the terms of the Agreement without prior agreement with the Customer or any other notice;
engage third parties to fulfil its obligations under this Agreement;
unilaterally terminate this Agreement in the cases and in the manner prescribed by this Agreement;
terminate the Customer's access to the materials of the selected Course in case of non-payment of the full cost of the Services in accordance with Section 6 of the Offer;
publish or in any other way make available in social networks, presentations, on the Website or in any other place the Customer's feedback on the Educational Services in any form (text, visual, audio and video materials, etc.).
The Customer undertakes to:
pay for the Services on the terms and conditions and in the manner stipulated in this Agreement;
accept the Contractor's Services in accordance with the provisions of this Agreement;
show respect for the Contractor, other Users and Customers;
when placing an order for the provision of the Services, provide the Contractor with relevant and reliable information necessary to communicate with the Customer within the framework of the provision of the Services under the Agreement, namely: full name, e-mail address, contact phone number, IDs of the Customer's accounts in Telegram, Discord, etc;
not to transfer access to the Contractor's Course materials to third parties in any way, to ensure complete confidentiality of such materials and passwords provided to the Customer for access to such materials;
not to copy or distribute in any way (not to publish, not to post on other resources on the Internet, not to transfer or resell to third parties) materials belonging to the Contractor and received in the course of the Services, not to create information products based on them for the purpose of extracting commercial profit, and not to use this information in any other way than for personal use. In case of violation of this provision, the Customer shall be liable in accordance with the Agreement and the current legislation of Ukraine;
complete practical assignments, if any, provided for by the relevant Course.
The Customer is entitled to:
require the Contractor to provide information on issues related to the organisation and provision of the Services provided for by the Agreement;
properly receive the Educational Services on the terms and conditions stipulated by the Agreement.
COST OF SERVICES AND SETTLEMENTS
The cost of the Services provided by the Contractor and available for ordering is indicated on the Website or notified to the User/Customer in personal messages in Telegram, Discrod or by e-mail and may be changed by the Contractor at its discretion, at any time and unilaterally. The changed price is valid from the moment of publication or sending a message to the User/Customer and applies only to those Services ordered after the publication of the new price.
The Customer shall pay for the Contractor's Services:
as an advance payment in the amount of 100% (one hundred per cent) of the cost of the Services;
or in instalments, on the terms and conditions provided by the Financial Agent.
Full payment shall be deemed to be the receipt of funds in the amount of 100% (one hundred per cent) of the cost of the Services to the current account of the Contractor or through the electronic payment system of the Financial Agent, if any.
In case of non-payment/untimely payment by the Customer of all payments provided for in sub-clauses. 6.2.2 of the Offer, or the Customer refuses to receive access to the materials of the relevant Course, the payments made by the Customer at the time of the circumstances provided for in this paragraph shall not be refunded.
Payment for the Services shall be made by the Customer in one of the following ways:
according to the Contractor's bank details provided to the Customer by the latter's contact details; or
through the electronic payment system of the Financial Agent, if such is provided for by the functionality of the Website. The payment procedure using the electronic payment system of the Financial Agent shall be subject to the rules determined by such Financial Agent.
The cost of the Contractor's Educational Services paid by the Customer is non-refundable, except in cases of failure to provide the Services due to the Contractor's fault within 14 (fourteen) calendar days from the date of full payment for the Services.
7. FORCE MAJEURE CIRCUMSTANCES
The Parties shall be released from liability for partial or complete non-performance or improper performance of obligations under the Agreement if they are the result of force majeure (fire, flood, earthquake, natural disaster, military operations and other force majeure circumstances) (hereinafter referred to as "Force Majeure"), and if these circumstances directly affected the performance of the Agreement.
In the event of Force Majeure, the performance of the Agreement shall be extended for the period during which such circumstances are in force.
If the Force Majeure circumstances continue for more than 1 (one) month, each of the Parties shall have the right to refuse further performance of obligations under the Agreement and in this case the Agreement shall be deemed terminated if the Parties agree on the legal consequences of such termination.
The Party that is unable to fulfil its obligations under the Agreement shall notify the other Party in writing within five (5) business days of the occurrence of Force Majeure. The existence of Force Majeure shall be confirmed by the relevant documents of the Ukrainian Chamber of Commerce and Industry or other authorised body of Ukraine.
Failure to notify or late notification of the occurrence or termination of Force Majeure shall deprive the Party of the right to refer to such circumstances as a ground for exemption from liability for breach of obligations under the Agreement.
8. PRIVACY
All information relating to the conclusion and execution of this Agreement shall be confidential, except for the information officially disclosed by the Parties in accordance with the current legislation of Ukraine.
During the term of the Agreement, as well as after its termination, the Customer or the User shall not provide to third parties or otherwise disclose confidential information obtained as a result of the Agreement.
The Customer or the User shall be liable for disclosure of confidential information in accordance with the current legislation of Ukraine, and shall also be obliged to compensate for the losses caused by such disclosure.
The Contractor shall have the right to charge the Customer or the User a fine of UAH 100,000 (one hundred thousand) 00 kopecks for each detected case:
infringement of intellectual property rights or related rights of the Contractor, namely: unlawful and/or illegal posting/distribution/sale/exchange of the Course materials, including parts or components of materials or other intellectual property received by the Customer or User during the Course;
creation of similar/similar courses, materials, including parts or components of materials or other intellectual property received by the Customer or User during the Course.
DISPUTE RESOLUTION
All disagreements and disputes related to the fulfilment of the terms of the Agreement shall be resolved by the parties through negotiations.
If the Parties fail to reach a mutual agreement as a result of negotiations, as well as if one of the Parties evades negotiations, the dispute shall be referred to the court in accordance with the procedure established by the current legislation of Ukraine.
TERM OF THE AGREEMENT AND TERMINATION PROCEDURE
The Agreement shall enter into force from the moment the Customer performs the actions stipulated in clause 2.2 of the Agreement and shall be valid until the expiration of the term of the Services provision by the Contractor at the relevant Rate chosen by the Customer.
The Agreement may be terminated prior to its expiry by agreement of the Parties in the cases provided for by the Agreement and the current legislation of Ukraine.
The Agreement may be terminated between the Parties:
unilaterally on the initiative of the Contractor if the Customer has violated the terms of this Agreement, intellectual property rights or related rights of the Contractor to the courses and their constituent materials. At the same time, the funds paid by the Customer under this Agreement shall not be refunded and shall be a penalty (fine) for the Customer's actions;
unilaterally at the initiative of the Contractor if the Customer has committed a violation of the rules of conduct in the process of receiving the Services under this Agreement, namely: incitement of ethnic conflicts, spam, advertising, obscene statements, insults to the Contractor, insults to other users of the Site or other websites, systems and/or software. At the same time, the funds paid by the Customer under this Agreement shall not be refunded and shall be a penalty (fine) for the Customer's actions;
unilaterally at the initiative of the Contractor in case of impossibility of providing the Services under the Agreement.

The Services shall be deemed to be rendered by the Contractor from the moment of granting access to the relevant Course, provided that the Customer makes full or partial payment for the Services in accordance with Section 6 of the Offer.

Access to the Course materials shall be provided by the Contractor after payment for the Services in accordance with the procedure specified in Section 6 of the Offer;
provide online (remotely) Educational services provided by the Course selected and paid for by the Customer;
provide feedback to the Customer, if such provisions are provided for by the Course selected and paid by the Customer;
keep confidential any personal and/or confidential information received from the Customer during the provision of the Services under the Agreement, in accordance with the Privacy and Personal Data Protection Policy posted on the Website;
comply with the requirements of the current legislation of Ukraine, including those related to the processing, transfer and protection of personal data of Users and Customers;
The Contractor is entitled to:
unilaterally change the content of the closed section of the Website or other website, systems and/or software containing the materials, the form of feedback, without changing the established frequency of their conduct and the scope of the Services, as well as change and supplement the content of the Course for the Customer;
in the course of providing the Services to the Customer, to give specialised recommendations on the performance of tasks provided for by the Course, the programme, as well as on additional actions that increase efficiency and are achieved through the implementation of the results of the Course;
unilaterally amend and supplement the terms of the Agreement without prior agreement with the Customer or any other notice;
engage third parties to fulfil its obligations under this Agreement;
unilaterally terminate this Agreement in the cases and in the manner prescribed by this Agreement;
terminate the Customer's access to the materials of the selected Course in case of non-payment of the full cost of the Services in accordance with Section 6 of the Offer;
publish or in any other way make available in social networks, presentations, on the Website or in any other place the Customer's feedback on the Educational Services in any form (text, visual, audio and video materials, etc.).
The Customer undertakes to:
pay for the Services on the terms and conditions and in the manner stipulated in this Agreement;
accept the Contractor's Services in accordance with the provisions of this Agreement;
show respect for the Contractor, other Users and Customers;
when placing an order for the provision of the Services, provide the Contractor with relevant and reliable information necessary to communicate with the Customer within the framework of the provision of the Services under the Agreement, namely: full name, e-mail address, contact phone number, IDs of the Customer's accounts in Telegram, Discord, etc;
not to transfer access to the Contractor's Course materials to third parties in any way, to ensure complete confidentiality of such materials and passwords provided to the Customer for access to such materials;
not to copy or distribute in any way (not to publish, not to post on other resources on the Internet, not to transfer or resell to third parties) materials belonging to the Contractor and received in the course of the Services, not to create information products based on them for the purpose of extracting commercial profit, and not to use this information in any other way than for personal use. In case of violation of this provision, the Customer shall be liable in accordance with the Agreement and the current legislation of Ukraine;
complete practical assignments, if any, provided for by the relevant Course.
The Customer is entitled to:
require the Contractor to provide information on issues related to the organisation and provision of the Services provided for by the Agreement;
properly receive the Educational Services on the terms and conditions stipulated by the Agreement.
COST OF SERVICES AND SETTLEMENTS
The cost of the Services provided by the Contractor and available for ordering is indicated on the Website or notified to the User/Customer in personal messages in Telegram, Discrod or by e-mail and may be changed by the Contractor at its discretion, at any time and unilaterally. The changed price is valid from the moment of publication or sending a message to the User/Customer and applies only to those Services ordered after the publication of the new price.
The Customer shall pay for the Contractor's Services:
as an advance payment in the amount of 100% (one hundred per cent) of the cost of the Services;
or in instalments, on the terms and conditions provided by the Financial Agent.
Full payment shall be deemed to be the receipt of funds in the amount of 100% (one hundred per cent) of the cost of the Services to the current account of the Contractor or through the electronic payment system of the Financial Agent, if any.
In case of non-payment/untimely payment by the Customer of all payments provided for in sub-clauses. 6.2.2 of the Offer, or the Customer refuses to receive access to the materials of the relevant Course, the payments made by the Customer at the time of the circumstances provided for in this paragraph shall not be refunded.
Payment for the Services shall be made by the Customer in one of the following ways:
according to the Contractor's bank details provided to the Customer by the latter's contact details; or
through the electronic payment system of the Financial Agent, if such is provided for by the functionality of the Website. The payment procedure using the electronic payment system of the Financial Agent shall be subject to the rules determined by such Financial Agent.
The cost of the Contractor's Educational Services paid by the Customer is non-refundable, except in cases of failure to provide the Services due to the Contractor's fault within 14 (fourteen) calendar days from the date of full payment for the Services.
7. FORCE MAJEURE CIRCUMSTANCES
The Parties shall be released from liability for partial or complete non-performance or improper performance of obligations under the Agreement if they are the result of force majeure (fire, flood, earthquake, natural disaster, military operations and other force majeure circumstances) (hereinafter referred to as "Force Majeure"), and if these circumstances directly affected the performance of the Agreement.
In the event of Force Majeure, the performance of the Agreement shall be extended for the period during which such circumstances are in force.
If the Force Majeure circumstances continue for more than 1 (one) month, each of the Parties shall have the right to refuse further performance of obligations under the Agreement and in this case the Agreement shall be deemed terminated if the Parties agree on the legal consequences of such termination.
The Party that is unable to fulfil its obligations under the Agreement shall notify the other Party in writing within five (5) business days of the occurrence of Force Majeure. The existence of Force Majeure shall be confirmed by the relevant documents of the Ukrainian Chamber of Commerce and Industry or other authorised body of Ukraine.
Failure to notify or late notification of the occurrence or termination of Force Majeure shall deprive the Party of the right to refer to such circumstances as a ground for exemption from liability for breach of obligations under the Agreement.
8. PRIVACY
All information relating to the conclusion and execution of this Agreement shall be confidential, except for the information officially disclosed by the Parties in accordance with the current legislation of Ukraine.
During the term of the Agreement, as well as after its termination, the Customer or the User shall not provide to third parties or otherwise disclose confidential information obtained as a result of the Agreement.
The Customer or the User shall be liable for disclosure of confidential information in accordance with the current legislation of Ukraine, and shall also be obliged to compensate for the losses caused by such disclosure.
The Contractor shall have the right to charge the Customer or the User a fine of UAH 100,000 (one hundred thousand) 00 kopecks for each detected case:
infringement of intellectual property rights or related rights of the Contractor, namely: unlawful and/or illegal posting/distribution/sale/exchange of the Course materials, including parts or components of materials or other intellectual property received by the Customer or User during the Course;
creation of similar/similar courses, materials, including parts or components of materials or other intellectual property received by the Customer or User during the Course.
DISPUTE RESOLUTION
All disagreements and disputes related to the fulfilment of the terms of the Agreement shall be resolved by the parties through negotiations.
If the Parties fail to reach a mutual agreement as a result of negotiations, as well as if one of the Parties evades negotiations, the dispute shall be referred to the court in accordance with the procedure established by the current legislation of Ukraine.
TERM OF THE AGREEMENT AND TERMINATION PROCEDURE
The Agreement shall enter into force from the moment the Customer performs the actions stipulated in clause 2.2 of the Agreement and shall be valid until the expiration of the term of the Services provision by the Contractor at the relevant Rate chosen by the Customer.
The Agreement may be terminated prior to its expiry by agreement of the Parties in the cases provided for by the Agreement and the current legislation of Ukraine.
The Agreement may be terminated between the Parties:
unilaterally on the initiative of the Contractor if the Customer has violated the terms of this Agreement, intellectual property rights or related rights of the Contractor to the courses and their constituent materials. At the same time, the funds paid by the Customer under this Agreement shall not be refunded and shall be a penalty (fine) for the Customer's actions;
unilaterally at the initiative of the Contractor if the Customer has committed a violation of the rules of conduct in the process of receiving the Services under this Agreement, namely: incitement of ethnic conflicts, spam, advertising, obscene statements, insults to the Contractor, insults to other users of the Site or other websites, systems and/or software. At the same time, the funds paid by the Customer under this Agreement shall not be refunded and shall be a penalty (fine) for the Customer's actions;
unilaterally at the initiative of the Contractor in case of impossibility of providing the Services under the Agreement.
4. This Public Offer Agreement was drawn up and published on March 04, 2024.
